Terms of Service

The terms that govern use of data.co, the Data.co Marketplace, app.data.co, and the Data.co API and MCP server. Enterprise deployments of Data.co Control are governed by a separate signed agreement, which takes precedence where the two conflict.

1–3

Agreement, definitions and eligibility.

1. Agreement. These Terms of Service ("Terms") are an agreement between you and Nead, LLC, doing business as Data.co ("Data.co", "we", "us"). By creating an account, generating an API key, connecting to our MCP server, placing an order, or otherwise using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to bind it, and "you" and "Customer" refer to that organization. If you do not agree, do not use the Services.

2. Definitions. "Services" means the data.co website, the Data.co Marketplace and graphics, app.data.co, the Data.co REST API and MCP server, and any support or managed services we provide under an order. "Order" means an order form, online checkout, or plan selection in app.data.co that references these Terms. "Customer Content" means data, prompts, queries and other materials you submit to the Services. "Dataset" means a dataset made available through the Marketplace by a provider. "Provider" means the party that supplies a Dataset. "Users" means the individuals you allow to use the Services under your account. "Software" means Data.co Control and other software we license to you.

3. Eligibility. The Services are intended for business and professional use. You must be at least 18 and able to form a binding contract. You may not use the Services if you are located in, or are owned or controlled by a person in, a country or region subject to comprehensive US sanctions, or if you are on a US or other applicable government restricted-party list.

4–6

Accounts, plans and fees.

4. Accounts and security. You must provide accurate account information and keep it current. You are responsible for your Users, for keeping passwords, passkeys and API keys confidential, and for all activity under your account and keys. Each API key belongs to your organization and may not be shared outside it. Notify us promptly through data.co/contact (topic "Security") if you suspect unauthorized use; we may revoke keys or suspend access to protect your account. Organization owners control membership and roles and are responsible for removing Users who should no longer have access.

5. Plans and trials. The Services may be offered under free, trial, self-serve and enterprise plans. Each plan's features, usage allowances and limits are described in app.data.co, on our pricing page, or in your Order. Free plans and trials are provided as is, without any commitment of availability or support, and we may change or end them with reasonable notice. At the end of a trial, access ends unless you choose a paid plan; we will not charge you without your agreement to a paid plan.

6. Fees, taxes and renewals. You agree to pay the fees in your Order or plan. Unless your Order says otherwise, subscription fees are billed in advance, usage-based fees are billed in arrears based on our metering records, and all fees are non-refundable except as these Terms or the law require. Paid subscriptions renew automatically for successive periods of the same length unless either party cancels before the end of the current period; you can cancel a self-serve plan in app.data.co at any time, effective at the end of the billing period. We may change prices for a renewal term by giving at least 30 days' notice before it begins. Fees exclude taxes; you are responsible for all sales, use, value-added and similar taxes other than taxes on our income. If you dispute a charge in good faith, tell us within 30 days of the invoice date. Overdue amounts may lead to suspension after at least 10 days' notice. Payments are processed by our payment processor; we do not store full card numbers.

7–9

API and MCP use, Marketplace Datasets and Software.

7. API and MCP use. You may access the API and MCP server only with valid API keys issued to your organization and only within the rate limits, quotas and usage allowances of your plan, as described in our developer documentation and on the rate limits page. We may throttle or reject requests that exceed those limits or that threaten the stability or security of the Services. You may not attempt to circumvent metering, rate limits or access controls, including by creating multiple accounts or rotating keys. We may change the API and MCP interfaces; we will give reasonable advance notice of breaking changes to generally available endpoints, except where a change is needed for security or legal reasons.

8. Marketplace Datasets. Each Dataset is provided under the license terms specified by its Provider and shown with the Dataset (the "Dataset License"). The Dataset License governs your rights to access, use, store, attribute and redistribute the Dataset, including for AI training or retrieval, and survives or ends as it states. Data.co distributes Datasets on behalf of Providers and does not grant any rights beyond those in the Dataset License. Datasets may contain errors, gaps, or personal data appearing in public records; you are responsible for using them lawfully, including under privacy and anti-discrimination laws. See Dataset Licensing.

9. Software. Data.co Control and other Software are licensed, not sold, under the license terms in your Order or enterprise agreement. Except as expressly permitted, you may not copy, modify, reverse engineer, decompile, resell, sublicense, or circumvent license controls in the Software, except to the extent the law expressly permits despite this restriction. Data processed by Software running in your infrastructure remains under your control and is not sent to Data.co, except opt-in operational telemetry you enable.

10–13

Your content, feedback, confidentiality and intellectual property.

10. Customer Content. You retain all rights in Customer Content. You grant Data.co a worldwide, non-exclusive, royalty-free license to host, process, transmit and display Customer Content only as needed to provide, secure and support the Services and as required by law. We do not use Customer Content or API or MCP inputs to train AI models. You represent that you have the rights and have given the notices and obtained the consents needed for us to process Customer Content as these Terms describe. Our processing of personal data in Customer Content is governed by our Data Processing Addendum, which forms part of these Terms where it applies.

11. Feedback. If you give us suggestions or feedback about the Services, we may use them without restriction or obligation to you. Feedback does not include Customer Content or your Confidential Information.

12. Confidentiality. "Confidential Information" means non-public information disclosed by one party to the other that is marked confidential or that a reasonable person would understand to be confidential, including Customer Content, non-public pricing, and security information. The receiving party will use the disclosing party's Confidential Information only to perform under these Terms, protect it with at least reasonable care, and disclose it only to employees, contractors and advisers who need to know it and are bound by confidentiality obligations at least as protective. These obligations do not apply to information that is or becomes public through no fault of the receiving party, was known to it without restriction, is independently developed, or is rightfully received from a third party. A party may disclose Confidential Information where required by law, after giving reasonable notice where legally permitted.

13. Intellectual property. Data.co and its licensors own all rights in the Services, Software, documentation, graphics, website content and our trademarks, subject only to the limited rights we expressly grant you. Providers own or control their Datasets. You may embed Data.co graphics on your own site using our published embed code, with the attribution the embed includes, but you may not alter them to misrepresent their content or source. No rights are granted by implication.

14–16

Third-party services, AI output and suspension.

14. Third-party services. The Services may interoperate with third-party products, such as model providers, MCP clients, data sources and payment processors, that you choose to use. Your use of them is governed by their terms, and Data.co is not responsible for them. Where you connect a third-party service, you authorize us to exchange data with it as needed for the connection.

15. AI output. Some Services and Datasets include output generated by machine learning models, such as AI-generated case summaries. AI output may be inaccurate, incomplete or out of date, may not be unique, and is not legal, financial, medical or other professional advice. AI-generated summaries of legal materials are not authority and must not be cited as such. You are responsible for evaluating AI output, including by human review, before relying on it, and for any decision you make using it.

16. Suspension. We may suspend all or part of your access, with notice where practical, if (a) your use poses a security risk to the Services or others, (b) you violate the Acceptable Use Policy or a Dataset License, (c) your account is overdue after notice, or (d) suspension is required by law or a Provider's lawful instruction regarding its Dataset. We will limit the suspension to what is reasonably necessary and restore access promptly once the issue is resolved.

17–18

Term, termination and data export.

17. Term and termination. These Terms apply from your first use of the Services until all Orders have ended and your account is closed. You may close your account at any time. Either party may terminate an Order for material breach that is not cured within 30 days after written notice, or immediately if the other party becomes insolvent or subject to bankruptcy proceedings. We may terminate free accounts that have been inactive for 12 months after notice.

18. Effect of termination. On termination or expiration, your rights to use the Services end and you must stop using the Services and any Dataset whose Dataset License does not survive termination, and delete copies as the Dataset License requires. For 30 days after termination you may export Customer Content and organization data from app.data.co or ask us to export it for you, except where we terminated for your material breach or legal reasons prevent it. After that window, we delete Customer Content as described in our Privacy Policy and Data Processing Addendum. You must pay all fees accrued before termination; if you terminate for our uncured material breach, we will refund prepaid fees for the remainder of the term. Sections that by their nature should survive, including fees owed, confidentiality, intellectual property, disclaimers, indemnification, limitation of liability and the general terms, survive termination.

19–21

Warranties, disclaimers and indemnification.

19. Warranties. Each party represents that it has the authority to enter into these Terms. For paid plans, we warrant that the Services will perform materially as described in our documentation; your exclusive remedy for breach of this warranty is for us to correct the non-conformity or, if we cannot do so within a reasonable time, for you to terminate the affected Order and receive a refund of prepaid fees for the remainder of its term.

20. Disclaimers. Except as expressly stated in these Terms or a signed agreement, the Services, Software, Datasets and AI output are provided "as is" and "as available", and Data.co disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted or error-free operation. Datasets are provided by their Providers, and Data.co makes no warranty about their accuracy, completeness or fitness for any purpose. Some jurisdictions do not allow certain disclaimers, so some of them may not apply to you.

21. Indemnification. Data.co will defend you against any third-party claim alleging that the Services or Software, as provided by Data.co and used in accordance with these Terms, infringe that third party's intellectual property rights, and pay damages and costs finally awarded or agreed in settlement. This obligation does not cover Datasets (claims about which are handled under the Dataset License and our copyright policy), Customer Content, third-party services, modifications not made by us, or combinations with items we did not provide where the claim would not have arisen without the combination. If such a claim arises or is likely, we may procure the right for you to continue using the affected Service, modify it to be non-infringing, or terminate it and refund prepaid fees for the remainder of the term. You will defend Data.co against any third-party claim arising from Customer Content, your use of the Services or Datasets in violation of these Terms, the Acceptable Use Policy, a Dataset License or applicable law, and pay damages and costs finally awarded or agreed in settlement. The indemnified party must give prompt notice of the claim, allow the indemnifying party to control the defense and settlement (no settlement may impose obligations on the indemnified party without its consent), and provide reasonable cooperation. This section states each party's entire obligation for third-party claims.

22

Limitation of liability.

22.1 Excluded damages. To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues, goodwill or data, arising out of or relating to these Terms, even if advised of the possibility of such damages.

22.2 Cap. To the maximum extent permitted by law, each party's total liability arising out of or relating to these Terms is limited to the fees paid or payable by you to Data.co for the Services giving rise to the claim in the 12 months before the event giving rise to the liability. For free plans, our total liability is limited to US$100.

22.3 Exceptions. These limits do not apply to your payment obligations, to a party's indemnification obligations, to your breach of the Acceptable Use Policy or a Dataset License, or to liability that cannot be limited by law, such as liability for fraud, gross negligence or willful misconduct.

23–33

General terms.

SectionTerms
23. Export and sanctionsYou will comply with all applicable export control and sanctions laws, and will not export, re-export or provide access to the Services, Software or Datasets to any prohibited country, entity or person, or for any prohibited end use.
24. PublicityWe will not use your name, logo or trademarks to identify you as a customer, in marketing or otherwise, without your prior written permission. You may withdraw that permission at any time.
25. AssignmentNeither party may assign these Terms without the other's prior written consent, except to a successor in a merger, acquisition or sale of all or substantially all of its relevant assets, with notice. Any other attempted assignment is void.
26. Force majeureNeither party is liable for delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, war, terrorism, labor disputes, government action, or failures of public utilities or networks, other than payment obligations. The affected party will use reasonable efforts to resume performance.
27. NoticesWe give notices by email to the account owner's address or in app.data.co, and they are effective when sent. You give notices to us through the contact form at data.co/contact or by mail to Nead, LLC, 1425 Broadway Suite 22689, Seattle, WA 98112. Legal notices about breach or indemnification should state that they are legal notices.
28. Governing lawThese Terms are governed by the laws of the State of Arkansas, without regard to conflict-of-laws rules, unless your Order specifies otherwise. The UN Convention on Contracts for the International Sale of Goods does not apply.
29. Dispute resolutionBefore starting legal proceedings, a party will give the other written notice of the dispute, and the parties will try in good faith to resolve it through senior representatives for at least 30 days. If it is not resolved, disputes will be resolved exclusively in the state or federal courts located in Arkansas, and each party consents to their jurisdiction. Either party may seek injunctive relief in any competent court to protect its intellectual property or Confidential Information.
30. Entire agreementThese Terms, together with any Order, the Acceptable Use Policy, applicable Dataset Licenses and, where applicable, the Data Processing Addendum, are the entire agreement between the parties about their subject matter and supersede prior agreements. Terms in your purchase orders or other business forms do not apply. If any provision is unenforceable, the rest remains in effect. A waiver must be in writing. The parties are independent contractors.
31. Order of precedenceIf documents conflict, the following order applies: (1) a signed enterprise agreement, (2) an Order, (3) the Data Processing Addendum, as to personal data, (4) the Dataset License, as to the Dataset it covers, (5) these Terms, (6) the Acceptable Use Policy and other policies referenced in these Terms.
32. Changes to these TermsWe may update these Terms and will post the updated version on this page. For material changes, we will give account holders at least 30 days' notice by email or in app.data.co before they take effect. Changes do not apply retroactively. If you do not agree to a change, you may stop using the Services and cancel before it takes effect; continued use after that date means you accept it. Changes required by law may take effect sooner.
33. ContactQuestions about these Terms can be sent through the contact form at data.co/contact.
